1. About these terms
These Terms and Conditions govern access to RightMV, use of the Community capabilities, and purchases and use of RightMV Professional licences. They form an agreement between the customer and Keep The Logic Pty Ltd, the South African company that supplies RightMV ("Keep The Logic", "RightMV", "we", "us" or "our"). By placing an order or using a Professional licence, the customer confirms that they have authority to accept these terms.
Keep The Logic Pty Ltd's registration number, physical address, contact details and address for legal notices must be published on the RightMV website and order documentation before commercial launch.
2. RightMV product and Community capabilities
RightMV is supplied as one downloadable program. It runs immediately with Community capabilities and does not require a paid Professional licence for Community use. A valid Professional licence enables the Professional capabilities included in the purchased entitlement.
Community is intended to provide a complete development, testing, learning and evaluation environment using the Community execution and storage capabilities made available in the applicable RightMV release. Customers may develop and test applications in Community and deploy them to a licensed Professional machine when Professional execution, storage, integration or secure-access capabilities are required.
Product descriptions, system requirements, supported platforms and feature availability published at the time of purchase form part of the order.
3. Licence grant
Subject to payment and compliance with these terms, RightMV grants the customer a limited, non-exclusive licence to install and use RightMV for the customer's own lawful purposes.
Community may be installed and used without a paid Professional machine entitlement, subject to the Community licence terms published with the applicable release.
Professional licensing is measured per active Professional machine unless the order states otherwise. User counts are unlimited on a licensed Professional machine.
A Professional entitlement may not be sold, sublicensed, shared between unrelated parties or used concurrently on more Professional machines than purchased. A permitted machine transfer under the current licensing policy is not treated as a transfer of the licence to another customer.
4. Perpetual licences
A perpetual licence permits continued use of the licensed RightMV release on the licensed Professional machine.
The purchase includes twelve months of maintenance and access to eligible updates unless the order states otherwise. Expiry of maintenance does not disable the licensed release already in use. Later releases may require renewed maintenance or a separate upgrade entitlement.
A perpetual licence does not expire merely because maintenance is not renewed.
5. Fixed-term licences
A fixed-term Professional licence is purchased for a period selected at checkout, currently from one to twelve months, and is paid once in full upfront.
A fixed-term licence:
- does not renew automatically;
- does not create a recurring payment authority;
- enables the purchased Professional capabilities until the expiry date in the issued licence; and
- requires a new fixed-term or perpetual licence for continued Professional use after expiry.
The price shown at checkout is the total price for the selected fixed term, subject to applicable taxes and charges disclosed before payment.
6. Evaluation before purchasing Perpetual
RightMV Community is available without charge and is intended to allow customers to develop, test and evaluate applications using Community capabilities before purchasing Professional.
Customers who need to evaluate Professional-only capabilities, including compiled execution, Professional storage engines, the SSH terminal or MCP server, are encouraged to purchase a short fixed-term Professional licence before committing to a perpetual licence.
A customer considering a perpetual licence should use the Community capabilities and, where appropriate, a short fixed-term Professional licence to determine whether RightMV is suitable for the customer's application, infrastructure, compatibility requirements and intended use.
This evaluation opportunity does not limit any statutory warranty, refund, repair, replacement or other right that cannot lawfully be excluded.
7. Prices, taxes and payment
Prices are shown in the stated currency and exclude applicable taxes unless expressly stated otherwise.
Before final checkout, the customer must be shown the applicable licence type, licence duration where relevant, number of Professional machines, price, taxes or other charges required by law, and total amount payable.
The customer is responsible for applicable taxes, duties and bank or payment-provider charges to the extent disclosed or lawfully payable.
RightMV may withhold delivery, activation processing or issuance of a Professional licence where payment is declined, reversed, disputed or not received.
Once a valid Professional licence has been issued, RightMV does not remotely deactivate that licence. A payment reversal, chargeback or later dispute may result in refusal of future orders, renewals, replacement licences, machine transfers, maintenance, support or other services, subject to applicable law.
8. Refunds
Professional licence purchases are normally non-refundable after the licence has been issued or activated where the customer:
- changes its mind;
- no longer wishes to use RightMV;
- later decides that RightMV is unsuitable for its requirements after having had a reasonable opportunity to evaluate it;
- decides not to proceed with a migration or deployment;
- underestimates the effort required for migration, configuration or integration; or
- requests a partial refund or credit for an unused portion of a fixed-term licence.
RightMV provides Community capabilities without charge and offers fixed-term Professional licences from one to twelve months so that customers can evaluate RightMV and Professional-only capabilities before committing to a perpetual licence.
This normal non-refund policy does not apply where a refund or other remedy is required by applicable law.
RightMV will also consider a refund or other appropriate remedy where:
- the customer was charged incorrectly or more than once for the same order;
- a Professional licence cannot be activated because of a fault in RightMV's licensing system and RightMV cannot correct the fault within a reasonable period; or
- RightMV has a material defect that substantially prevents the licensed software from performing as documented and an applicable mandatory right requires a refund or other remedy.
Where mandatory law does not give the customer the right to choose an immediate remedy, the customer must provide reasonable information needed to reproduce the reported defect and allow RightMV a reasonable opportunity to investigate, correct the defect or provide a reasonable workaround.
Nothing in this section excludes, restricts or waives a consumer right, cooling-off right, implied warranty, refund, repair, replacement or other remedy that cannot lawfully be excluded.
9. Activation and Professional machines
Professional licences may require activation for a specific installation or machine.
The customer must provide accurate activation information and preserve the installation's licence material when updating RightMV.
The customer may not share one Professional machine entitlement across multiple concurrently active Professional machines.
Professional activation may use machine or installation information for licence administration, misuse prevention and permitted machine transfers as described in the Privacy Policy.
10. Transfers, migration and recovery
Server replacement, virtual-machine migration, cloud-instance replacement and disaster recovery may require a licence transfer or replacement.
RightMV's current licensing policy may provide self-service transfer allowances and temporary overlap for genuine migration or recovery.
RightMV may request reasonable information to prevent duplicate active Professional use.
A customer that requires a separate staging, performance-test, disaster-recovery or other machine to run Professional-only execution, storage, integration or secure-access capabilities must obtain a Professional entitlement for that machine unless the order or current licensing policy expressly provides otherwise.
Community remains available for ordinary development and testing without a Professional machine entitlement.
11. Community-to-Professional deployment
Customers may develop and test applications using RightMV Community and deploy those applications to a licensed Professional machine.
Professional execution, compilation, storage, integration and secure-access capabilities, including the SSH terminal and MCP server, are available only where enabled by the applicable Professional entitlement.
The technical deployment process may change between releases. Current deployment guidance is documented separately from these terms.
12. Permitted use and restrictions
The customer may use RightMV to operate, develop, test, migrate and administer its own lawful systems in accordance with the applicable Community or Professional entitlement.
The customer may not:
- resell or sublicense Professional entitlements;
- redistribute Professional licence credentials or activation material;
- remove ownership or copyright notices;
- bypass, disable or circumvent licence controls;
- copy Professional machine entitlements for concurrent use on unlicensed Professional machines;
- tamper with signed Professional modules for the purpose of avoiding licensing restrictions; or
- use RightMV unlawfully.
Rights provided by applicable law that cannot be restricted remain unaffected.
13. Customer data, export and backups
The customer owns and controls data stored in RightMV.
The customer is responsible for backups, restore testing, access control, credentials, infrastructure, configuration and safe operation.
RightMV export, import and recovery functions may assist with backup, migration and deployment, but do not replace an independent backup and disaster-recovery plan appropriate to the customer's requirements.
Licence expiry, suspension or activation problems must not intentionally corrupt customer data. Where technically possible and legally permitted, data export and recovery capabilities should remain available so that customer data is not trapped solely because of a licensing problem.
14. Updates and compatibility
Updates may add, change or remove functionality and may require configuration changes.
RightMV does not guarantee compatibility with every operating system, Java release, third-party system, legacy application, custom integration or MultiValue implementation unless that compatibility is expressly documented.
The customer should test updates, migrations, compiled applications and storage changes before production deployment.
Community provides a suitable environment for ordinary development and testing, but customers requiring production-identical testing of Professional-only execution, storage, integration or secure-access capabilities must use a properly licensed Professional machine.
15. Support and maintenance
Support and maintenance are provided only to the extent included in the order or a separate support agreement.
Response times are targets unless expressly identified as binding service levels.
Support may exclude:
- third-party systems;
- unsupported RightMV releases;
- customer modifications;
- deficient or unsupported infrastructure;
- undocumented environments; and
- issues that cannot reasonably be reproduced.
Perpetual maintenance expiry does not disable the licensed RightMV release already in use.
16. Intellectual property
RightMV, its Professional modules, source code, documentation, branding and related materials remain the property of Keep The Logic Pty Ltd and its licensors, subject to any rights expressly granted under the applicable Community licence or third-party licence notices.
The customer receives usage rights only. No ownership of RightMV intellectual property transfers under these terms.
Third-party components remain subject to their respective licence notices.
17. Confidentiality and privacy
Each party must protect confidential information received from the other and use it only for purposes connected with the agreement.
RightMV may process order, payment, support, activation and machine-identification information where reasonably necessary to:
- supply and administer RightMV;
- issue and manage Professional licences;
- process permitted machine transfers;
- prevent unauthorised duplicate Professional use;
- provide support;
- maintain transaction and accounting records; and
- meet legal obligations.
Personal information is processed in accordance with the RightMV Privacy Policy and applicable data-protection law.
Card details are handled by the selected payment provider and are not intended to be stored by RightMV.
18. Warranties and documented performance
RightMV will be supplied substantially as described, subject to published system requirements, compatibility information, documented limitations and the customer's own configuration and environment.
Except for warranties or rights that cannot lawfully be excluded, RightMV does not warrant uninterrupted or error-free operation, compatibility with undocumented systems, or fitness for a purpose that was not disclosed and expressly accepted.
Published benchmarks are measurements from stated test environments and are not guarantees that every customer workload or machine will achieve the same performance.
19. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special or consequential loss, loss of profit, loss of opportunity or loss arising from unavailable or unrecoverable data, except where such liability cannot lawfully be excluded or limited.
To the maximum extent permitted by law, RightMV's aggregate liability arising from a particular order is limited to the amount actually paid by the customer for that order.
For a perpetual licence, the liability cap does not reduce to zero merely because more than twelve months have passed since purchase.
Nothing in these terms excludes or limits liability for gross negligence, wilful misconduct, fraud, or any other liability to the extent that applicable law prohibits its exclusion or limitation.
Where required by applicable consumer law, any provision that limits liability or imposes an assumption of risk must be specifically drawn to the customer's attention before the order is placed.
20. Breach, refusal of future service and licence continuity
RightMV Professional uses offline, cryptographically signed licences and does not depend on a remote licensing service to remain operational.
RightMV does not remotely disable or revoke an already issued valid perpetual licence. A fixed-term licence remains valid until the expiry date contained in the issued licence and expires locally according to that date.
Where a customer engages in fraud, unlawful use, material breach, unauthorised duplication, deliberate circumvention of licence controls, improper payment reversal or chargeback, or other serious misuse, RightMV may, to the extent permitted by law:
- refuse future orders;
- refuse renewal of fixed-term licences;
- refuse replacement licences or additional activations;
- refuse or restrict machine-transfer requests;
- refuse maintenance, updates or support not already contractually due; and
- refuse other future commercial dealings with that customer.
Where a breach is reasonably capable of remedy, the customer should normally be given notice and a reasonable opportunity to remedy it before future services are refused, unless immediate action is reasonably necessary to prevent fraud, unlawful use or material harm.
21. Changes to these terms
The version accepted at checkout governs that order.
RightMV may update these terms for future orders by publishing a revised version and effective date.
Updated terms do not alter the already purchased duration of an issued fixed-term or perpetual licence unless required by law or agreed in writing.
22. Governing law and disputes
These terms are governed by the laws of the Republic of South Africa.
The parties should first attempt in good faith to resolve a dispute through written notice and direct discussion.
Nothing in these terms prevents a customer from using a regulator, tribunal, court, ombud or other remedy available under applicable law.
23. Electronic transactions and statutory rights
Where the order is an electronic transaction, RightMV will provide the supplier, product, pricing, payment, transaction-record, privacy, refund and other disclosures required by applicable law through the website, checkout flow, order confirmation or incorporated policies.
Where a statutory cooling-off right applies, it remains available despite any inconsistent wording in these terms.
Some statutory cooling-off rights may not apply where an applicable legal exception applies, including certain circumstances in which services begin with the consumer's consent during the cooling-off period or computer software has been unsealed or otherwise supplied in a manner covered by the applicable exception.
Nothing in these terms excludes a statutory right that cannot lawfully be excluded.
24. General
If part of these terms is invalid or unenforceable, the remaining terms continue to apply.
A failure to enforce a right is not a waiver.
The order, these terms, the applicable product description, the Privacy Policy, the refund policy where separately published, and any expressly incorporated licensing policy are the entire agreement for the purchase unless replaced by a written agreement signed by both parties.
If an incorporated policy conflicts with the specific commercial terms stated in an accepted order, the accepted order prevails to the extent of that conflict, except where applicable law requires otherwise.
